Services

In this Terms of Service contract, services refers to any and all of the services provided by idealdeal.org.

User Content

In the context of this agreement, User Generated Content or User Content is content that is submitted by the users of our website and services, including but not limited to any text, images, videos, audio, location data, reviews, ratings, comments, messages, or any other information that is publicly displayed and was submitted by a user of our website and/or our services.

Although idealdeal.org requires all users to affirm that any information and content that they submit is fully accurate, idealdeal.org does not verify the accuracy of the information submitted by the users.

By submitting User Content on any page of the idealdeal.org website, you represent and warrant that:
All content that you upload to our website is accurate to the best of your knowledge;
You are solely responsible for any listings, reviews, contributions, comments, or any other form positing or uploads, including feedback and questions;
Your submission or use of the user content does not violate this agreement;
Your submission will not cause any injury to any person or entity;
You will indemnify, defend, and hold harmless idealdeal.org, its members, employees, contractors and partners including Caweem LLC and their members and employees, from any third party claims and damages, losses or injuries resulting from the display of your user content;
You will not submit any user content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, hateful, racially discriminatory, ethnically discriminatory or otherwise objectionable;
You will not submit any user content that infringes any patent, trademark, trade secret, copyright or other proprietary or intellectual property rights of any entity;
You will not submit any user content that contains malicious software viruses or any other computer code or program that is designed interrupt, destroy or limit the functionality of any of our systems including our software systems, our hardware systems or our network systems;
You will not submit any user content that is false, inaccurate, or misleading;
You will not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
You will not infringe on the privacy rights of others by uploading their personal details without their prior permission;
You will not violate any local, state, provincial, territorial, national or international law, intentionally or unintentionally;
You are at least 18 years old

By submitting any content to our website, you grant idealdeal.org and its affiliates a royalty-free, perpetual, world-wide license to use reproduce, create derivative works from, publish, modify, edit, distribute, translate, perform and display the content in any media or medium, form or format.

If we believe that any content uploaded to idealdeal.org is in breach of this agreement or may cause harm to idealdeal.org or our users, we reserve the right to remove, edit, refuse or permanently delete any user submitted content, even if such content does not violate this Agreement.

Payments, Pricing and Taxes

In case of payments charged for advertising on idealdeal.org or for other similar purposes, you are solely responsible for any applicable state, federal or provincial taxes.
Although we may not charge you any taxes, you agree that you will pay any applicable taxes or fees to your local or state tax agency for any purchases.
We are not responsible for collecting, transmitting, or advising on taxes, duties, or other levies by the government regarding your purchases. 

Governing Law

All use of our website and services shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, under all circumstances.

You agree that you will notify idealdeal.org in writing of any claim or dispute concerning or relating to your use of our website and services and give idealdeal.org a reasonable period of time to address it before bringing any legal action against idealdeal.org or our partner Caweem LLC.

You also agree to submit to the jurisdiction of the state and federal courts located in the State of Delaware, United States of America.

Limitation of Liability

To the extend permitted by law, idealdeal.org and its members, employees and contractors will not be liable, under any circumstances, for any kind of indirect, consequential, incidental, special, exemplary or punitive damages, including, but not limited to, damages for loss of profits, revenues, business, cost savings, data, or other financial losses.
You also agree that, to the extent permitted by law, the aggregate liability of idealdeal.org, for any claims under these terms, is limited to the amount you have paid us for our services.

Indemnity

You agree to indemnify idealdeal.org and its members, employees and contractors, against any liabilities, damages, claims, losses, fines, suits, litigation costs, and legal fees, arising out of or relating to your inappropriate or unlawful use of our services or violation of our Terms of Service contained herein
